VENDOR TERMS & CONDITIONS

 This Vendor Terms & Conditions is made Buymystock (the "Buymystock"), a company existing under the laws of United Arab Emirates.

 And the "Vendor" or ‘’Supplier’’, an individual  OR a company organized and existing under the laws of United Arab Emirates.                                         

RECITALS:

1.  Buymystock operate and franchise Buymystock.com a B2B e-commercial website portal.

2.  The Vendor is business owner whose wise to display, sell his product on Buymystock portal,

Vendor shall by either individual or the business employ. The vendor agrees to and comply with the Supplier Terms & Conditions of the portal.

3.  Whereas Vendor is desirous to use Buymystock, a global platform for connecting consumers with the right kind of agents for such services.

4.   Whereas both the parties held detailed deliberations and agreed that Vendor will use Buymystock as a platform to promote its services and get maximum use of its network.

5.   Buymystock will display and sell the product directly to customer and will work on commission basis as per commission rate card per categories.

6.   Vendor agree to not participate with any other stock clearance online platform except with Buymystock.com

 

SCOPE & VENDOR RESPONSIBILITY :

1.   Vendor will create account to access our services following instruction provided on the portal. All information should be true and correct if we found the information provided are false it would result in violation of applicable federal & international  Laws.

2.   Vendor provided User name & Password should be treated as confidential information and it is vendor sole responsibility to maintain it securely.

3.   At the time of creation account, Vendor agree all policies, protocols,  terms and conditions and other service terms incorporated on the portal.

4.   Vendor will upload stock, pictures & details on the BMS portal hassle-free

5.   Vendor will get a personalized dashboard to view your activities

    1. Stock uploads
    2. Payment Transactions
    3. No. of order requests received
    4. No. of accepted/rejected requests
    5. Accounts detail etc.

6.    Vendor will receive buyer’s request for quotes (RFQs) from admin and should respond with      

       Suitable quotations accordingly

7.    Communication liaison strictly remains with admin and not directly with the buyer.

8.    Vendor agrees to on-board as a supplier to Buymystock web portal in a lawfull manner

9.     Vendor agrees to upload stock inventory and update it time to time  .

10.   Vendor agrees to use reasonable ways and resources to endorse Buymystock while promoting its services, (like “Find us on buymystock.com”)

11.   Vendor is solely responsible for item listed irrespective of agency, distribution, and dealer or retailer agreement with principal manufacturer or brands.

12.   Vendor must ensure that all Items link to the images uploaded to the Portal and information supplied to us are true and of same product. It is your duty not to place any misleading advertisement or information about your Items or a brand on the

Portal. If found to be in breach of these Portal Terms, you must accept return of Items and you may become liable to us under these Portal Terms. Items that are prohibited locally are listed below which are potentially harmful to the health and safety of individuals etc., we may require you to provide additional warranties to us to continue to allow their sale via the Portal. Specific Applicable local Laws may apply to the sale of such Items and it is your responsibility to adhere to such laws. Liabilities incurred for not following relevant health and safety requirements and/or selling Items which are harmful to individuals or any Persons property will be at your sole risk and cost.

We reserve the right to reject Items that fall under our prohibited item list, as amended from time to time. Items offered for sale on the Portal must comply with all laws and regulations and with Buymystock’s policies and protocols as may be specified on the Portal and updated from time to time. Prior to listing or requesting us to list the Items on the Portal, you should carefully review the relevant guidance pages available on the Portal. We request you to seek independent legal advice if you have questions about the laws and regulations concerning your Items.

13.   Buymystock does not take title or ownership of the Items or the inventory of Items at any point in time by virtue of the provision of our Services according to these Portal Terms. Title to the Items shall remain with the Vendor until successful and completed delivery to its customer, or upon return to the Vendor.

 

OTHER SERVICE TERMS (SALE AND DELIVERY)

Buymystock services to you are in accordance with Other Service Terms, Vendor will:

1.   Ensure that your Items do not cause any personal injury or damage to personal & property adequate Insurance should be taken for product listed and to be present on request to Buymystock.

2.   Provide Buymystock (on request) an updated copy of your commercial license (if you are a corporate Person) or a copy of your passport or national ID (if you are an individual);

3.   Provide Buymystock (on request) product Certificate of country of origin, packing list, bill of landing etc .

4.   Provide required warranties ,maintenance manual and spare parts list for the purchased Items in accordance with market practices and Applicable Law(s)

5.   Remain responsible for after-sales services, guarantees, warranties, testing, commissioning, maintenance, and any defects that may arise for or in respect of your Items including where required in accordance with Applicable local Law which you may ask us to provide on your behalf);

6.   Package each of your Items in a commercially reasonable manner complying with all applicable packaging and as per local labelling requirements. ( Buymystock will provide BMS labelled masking tape).

7.   All your Items sourced, offered, sell and deliver should be in accordance with the terms of the applicable order and shipping format of these Portal Terms and all terms provided by you (with our agreement) or to us and displayed on the Portal at the time of the order and be solely responsible for and bear all risk for those activities;

8.   As per Other Services Terms you agree at your own expense or your customer’s expense ship each of your Items on or before either the end of the shipping availability period (which begins as of the date on which the relevant order is placed by the customer), or the shipping availability date, as applicable, specified by you in the relevant inventory/product data feed for your Product if you do not specify shipping availability information in such inventory/product data feed or that your product is in a product category that Buymystock terms as requiring shipment within, three business days after the date on which the relevant order is placed by the customer and you acknowledge and agree that we reserve the right to charge for any loss suffered or incurred by us for:

(a) your delays in delivery against agreed timelines; or

(b) cancellation of a confirmed order placed by a customer;

(c) Imposing Penalty upto  20% of ordered product value that will be deducted from your account.

(d)  no materials or products provided under this P.O. are banned, misbranded or mislabeled and all goods are produced in conformity with all applicable federal, state and local rules and regulations.

9.   Receive the order information and shipping information with respect to any of your Items ordered through the Portal in order to comply with your obligations according to this Portal Terms;

10.  Cancelling any sale of your Product(s) through the Portal as permitted pursuant to terms issued by us and in force at the time of the applicable order or as may be required under these Portal Terms;

11.  Provide to Buymystock information regarding delivery and order status and tracking, in each case as requested by us using the processes designated by us, of which we may make any of this information publicly available;

12.  Comply with all instructions specified by the manufacturer, distributor, and/or licensor of a Product specifying you can upload product catalogue.

13.  Vendor should put items under his ownership &  should not act on behalf of any other Person Identify yourself as the Vendor of each of your Items on all documents submitted to us, provided in connection with your Items and as the Person to which a customer may return the applicable product; and except as expressly permitted by these Portal Terms,

14.  Vendor should not contact customers directly and indirectly (whether by telephone, email or any other communication method) confirming orders or delivery of your Items or for any other reason. If found Vendor directly in contact with customer we have the right to terminate the contract.

 CONFIDENTIAL INFORMATION:

1.   Parties shall treat the details of the Agreement and each other’s operations and affairs as private and confidential, save in so far as may be necessary for the purposes of the Agreement, and shall not publish or disclose the same to any third party or entity. The parties agree that during the term of this Agreement the parties may exchange with each other, Confidential Information.

2.   "Confidential Information" shall mean all ideas, concepts, technology, proof of concept, Software System, know-how, strategies, client data, business, technical information, or any other information identified by the parties as confidential prior to disclosure.

3.   In consideration of disclosure of Confidential Information, the recipient party shall use reasonable means not less than those used to protect its own confidential information of a similar nature and value. Access to Confidential Information to own employees shall be on a need-to-know basis only.

4.  The parties shall return all Confidential Information, including any whole or partial copies thereof, immediately upon written demand by the other party.

5.   USE OF BUYMYSTOCK TRANSACTION INFORMATION You will not, and will cause your Affiliates not to, directly or indirectly: (a) disclose any Buymystock Transaction Information (except that you may disclose that information solely as necessary for you to perform your obligations under these Portal Terms if you ensure that every recipient uses the information only for that purpose and complies with the restrictions applicable to you related to that information); (b) use any Buymystock Transaction Information for any marketing or promotional purposes whatsoever, or otherwise in any way inconsistent with our or your privacy policies or Applicable local laws; (c) contact a Person that has ordered Your Product with the intent to collect any amounts in connection therewith or to influence that Person to make an alternative transaction; (d) disparage us, our Affiliates, or any of their or our respective items or services or any customer; or (e) target communications of any kind on the basis of the intended recipient being a Portal user. In addition, you may only use tools and methods that we designate to communicate with users of our Portal regarding transactions that you carry out on it, including for the purpose of scheduling, communicating, or cancelling the fulfilment of Items. The terms of this paragraph do not prevent you from using other information that you acquire without reference to Buymystock Transaction Information for any purpose, even if that information is identical to Buymystock Transaction Information, provided that you do not target communications on the basis of the intended recipient being a Portal user. Buymystock Transaction Information means, collectively, order information and any other data or information acquired by you or your Affiliates from Buymystock, its Affiliates, or otherwise as a result of these Portal Terms, the transactions contemplated by these Portal Terms, or the parties’ performance under these Portal Terms.

SUPPORT:

There would be a 24X7 online support for Vendor.

VENDOR’S RELEASE AND INDEMNITY: 

Vendor releases Buymystock and agrees to indemnify, defend, and hold harmless Buymystock, its Affiliates, and its respective officers, directors, employees, representatives, and agents against any claim, loss, damage, settlement, cost, expense, or other liability (including, without limitation, attorneys’ fees) (each, a “Claim“) arising from or related to: 

(a) Vendor’s actual or alleged breach of any obligations in these Portal Terms; 

 (b) any of Vendor’s other means through which it or any of its Affiliates offer items or services, other than the Portal,

(c) your Items (including their offer, sale, performance, and fulfillment),

(d) your Materials,

(e) any actual or alleged infringement of any Intellectual Property Rights by any of the foregoing, and any personal injury, death, or property damage related thereto;                                                       

(f) any third party warranting, administering or otherwise involved in the offer, sale, performance, or fulfilment of your Items, including any of your employees, representatives, agents, contractors, or subcontractors (including any act or omission by any of them or any Claim brought or directed by any of them); or

(g) taxes imposed on or payable by Vendor or for the sale and/or supply of Items. Vendor will use counsel reasonably satisfactory to Buymystock to defend each indemnified Claim. If at any time Buymystock reasonably determines that any indemnified Claim might adversely affect Buymystock, we may take control of the defence. You may not consent to the entry of any judgment or enter into any settlement of a Claim without our prior written consent, which may not be unreasonably withheld. 

We reserve the right to enforce our rights under this provision by withholding amounts otherwise due to Vendor under these Portal Terms.

OTHER OBLIGATIONS:

  1. It is agreed between the parties that Buymystock is only a technology Platform & infrastructure using which Vendor shall generate potential business leads.
  2. Vendor/Agents specifically undertake that it shall not misuse the technology Platform & infrastructure of Buymystock and shall use the same to conduct its business operation in a legal manner.

CHARGES AND REIMBURSEMENTS:

Except as provided otherwise, our fees for Our Services are set out on the Portal Selling fee  or as illustrated through the Vendor’s, as may be updated from time to time. Vendor is responsible for payment of taxes in connection with Items (including withholding costs and any interest or penalty payments that may be imposed by any competent authority for late or non-payment of such taxes, in each case in accordance with any Applicable local Laws.  All such amounts are in addition to our fees. You authorize us (and will provide us documentation evidencing your authorization upon our request) to verify your information (including any updated information), to obtain credit reports about you from time to time, where agreed with you in each case, to obtain credit authorizations from the issuer of your credit card, and to charge your credit card or debit your bank account for any sums payable by you to us (in reimbursement or otherwise).

 Except as provided otherwise, all amounts contemplated by these Portal Terms will be expressed and displayed in the currency set out on the Portal or referenced through the Vendor’s account for each Country, and all payments contemplated by these Portal Terms will be made currency set out on the Portal or referenced through the Vendor’s account.

a)  All fees payable by Vendor under these Portal Terms are exclusive of applicable taxes and duties, including, without limitation VAT, sales and similar transaction taxes, excise taxes and gross receipts taxes (“Indirect Taxes”).

b)  If the fees payable by Vendor are subject to Indirect Taxes, then the Indirect Taxes will be charged by Buymystock in addition to the fees payable under these Portal Terms. Vendor will provide such information to Buymystock, as reasonably required to determine whether Buymystock is obligated to collect Indirect Taxes from Vendor or to allow Buymystock to comply with its legal obligations in relation to the correct collection and enforcement of Indirect Taxes.

c)  Shipment charges incurred by Buymystock in relation to Vendor or a customer if any will be deducted by Buymystock before releasing payment during the relevant month. We will ensure that the cost of each item minus our fee as set out on the Portal will be released to Vendor’s account on the Portal in accordance with the relevant payment terms, after successful Product delivery, and in any event not later than thirty days after delivery. This period will always be subject to any customer dispute or dispute resolution time. Thereafter, Vendors can transfer such balance to his/her bank account at any time.

d)  Our obligation to remit funds received by us on your behalf is limited to funds that we have actually received less amounts owed to us, subject to chargeback or reversal or amounts withheld for anticipated claims in accordance with these Portal Terms.

e)  The parties shall work to resolve all and any payment conflicts amicably, and in the absence of an acceptable resolution, the parties will refer the conflict in accordance with clause

Notwithstanding any other provision of these Portal Terms and without prejudice to Buymystock’s other rights and remedies, Vendor indemnifies Buymystock for all loss (including to the extent that any loss is direct or indirect and/or relates to or includes any costs of investigation or professional fees or expenses) incurred or suffered (a) if the Vendor’s Product is found counterfeit or refurbished or not to be original; or (b) any other type of fraudulent conduct is identified on the part of Vendor.

PRICING:

Vendor/Seller agrees with selling fee, referral fee or other variable and should include our selling fee as per fee schedule given below, while uploading product prices on portal. Product Prices shall be those in effect at the time vendor upload product and will remain same till it appears on the portal. Prices listed do not include shipping, handling fees, taxes, and/or duties, and are subject to correction or change without notice. All shipments will be made ex store or F.O.B. shipping point to either Buymystock store for order value exceeding than AED 350 & order value less than AED 350 will be collected by our team.

FEE :

For on-boarding on Buymystock, for first year vendor registration is free, an annually subscription fee of AED 499 is applicable thereafter and the same shall be deposited by the Vendor to Buymystock account. Vendor should be always active and if found inactive for more than 6months, Buymystock has right to terminate the contract and remove/ delete vendor.

WARRANTIES:

Vendor warrants that for a period of one (1) year after distribution by Buymystock:

(a) all products covered by the P.O. will be of good quality and workmanship, free from defects, and fit and sufficient for the intended purpose for which required;

(b) all materials supplied under the P.O. will conform to the description, quality and performance furnished or specified by Buymystock, or if not furnished or specified, to standard commercial specifications;

(c) no materials or products provided under the P.O. are banned, forged, copyright, misbranded or mislabelled and all goods are produced in conformity with all applicable of federal, state and local states, rules and regulations. The warranties in this section shall survive delivery of goods or completion of services and shall not be waived by acceptance of products or payment. Such warranties shall cover all losses, including costs and expenses (including reasonable attorney's fees) to which Buymystock will be exposed by any defects of Vendor  material or performance. These warranties will extend and be passed through to Buymystock customers and subsequent end users of such products. All shipping, freight in connection with the return of non-conforming or defective products to the Vendor shall be borne by the Vendor. Such warranties include replacement product, freight on returned or replacement product, and any potential sorting or product repair that may be required at Vendor location or at a Buymystock location

(d)If required to demonstrate the product start up process Vendor should provide it without any delay and free of charges.

(e) At their own cost should provide commissioning for some product / Machine required   commissioning on portal by Vendor will clearly specify the condition of the item when he sell or deliver to a customer any refurbished or used items.

(f) Vendor understands its consumer protection obligations as a supplier and indemnifies Buymystock against any losses or costs incurred by Buymystock in respect of Vendor’s obligations under any Applicable local Laws

(g)Vendor should accept warranty for each product at the time of product listing and should adhere with full responsibility to comply with mentioned warranty period.

PRODUCT RETURNS:

Buymystock reserves the right to return over-stock products to Seller for credit against open invoices without penalty or restocking fees. Buymystock will reasonably attempt to consolidate over-stocked new products, advise you of the amount of the returns, and coordinate shipments to the Seller. Buymystock will pay the freight to return over-stocked products. Seller will promptly accept and handle all return requests (in reasonably new, re-saleable condition) and credit open Buymystock accounts within thirty (30) days of your receipt of returned products.

PRODUCT INFORMATION AND DATA:

Seller grants to Buymystock for business purposes the perpetual, nonexclusive, irrevocable, worldwide, royalty free right to use Seller's Product Information and Data. Seller's Product Information and Data shall include but not limited to item description, manufacture's model number, cross-reference data, UL and CSA information, NAFTA data, tariff number preference criteria, regulatory data, shipping data, product dimensions and weight, cost and list price data, forecast data, technical specifications, catalog data and product images for Buymystock business purposes, including but not limited to, the right to reproduce (manipulate, reconfigure), copy, publish, sell, transfer (license and sublicense) to any third party or distribute by any other method. Seller certifies that the Labelling and Origin Criteria for products (or parts thereof) imported into UAE and distributed to Buymystock is accurate as provided and Seller will promptly notify Buymystock of any changes.

Seller, as necessary or upon request, will provide relevant information about products, which are distributed to Buymystock locations in any country, including information governing the regulations for sale of product or limitations on the use of such products in these locations.

SHELF LIFE:

Seller shall supply Buymystock will all applicable data concerning the shelf life of products purchased under this Agreement. Such data includes expiration dates, "born on" dating or "fill" dating, and Seller shall mark product packaging accordingly.

CORRECTIVE ACTION:

Seller will immediately notify Buymystock in writing of any potential or actual stop sale, product recall or corrective action on a product distributed by Buymystock. Seller will reimburse Buymystock for all direct costs incurred by Buymystock (excluding lost profits and/or lost business opportunities), expenses of notifying end users and reasonable costs of processing a recall through Buymystock system (including labor and materials for the repair and replacement of products, freight and handling charges, customer service, administration, etc). Upon completion of the corrective action, Buymystock will notify Seller of such costs or expenses and Seller will submit reimbursement to Buymystock within thirty days after notification. Buymystock will be entitled to all remedies available under applicable law, including without limitation immediate termination of any Purchase Order, repair or replacement of the product, at Buymystock discretion, with all costs charged back to the Seller and exercise of set-off rights concerning any indebtedness owed to Buymystock by Seller

TERMINATION AND SURVIVAL OF OBLIGATIONS:

Buymystock shall have the right to terminate . in whole or in part at any time without cause by giving prior written or oral notice to Seller effective upon receipt. All of the obligations, terms, and conditions contained herein, including but limited to, indemnities and the procurement of insurance shall survive termination of this P.O. Seller shall have the right to discontinue sale of products to

Buymystock upon forty-five (45) days prior written notice, subject to any continuing obligations under this P.O.

INSURANCE:

Seller covenants and agrees, as a condition of purchase, at its expense to provide and procure broad form vendors liability insurance coverage naming Butmystock Company and Subsidiaries as an additional insured on applicable endorsements and certificates. This coverage shall not be cancelled without Buymystock consent and the policy limits shall be AED2,000,000 per occurrence for bodily injury and property damages with a minimum of AED3,000,000 in the aggregate. Seller, upon request (certificates are required once purchases meet or exceed AED500,000 per year), will submit Certificates of Insurance to Buymystock annually upon renewal. Seller will submit Certificates of Insurance to Buymystock prior to any Purchase Order performed by the Seller. All certificates should be remitted. INVOICING & PAYMENT:

Vendor/Seller will submit his invoice as per Buymystock purchase order. Once the product is sold after successful completion of delivery without any complain/ damage/ faulty material or warranty issue your payment will be transfer to given bank account with in 15days of delivery or as per payment terms specified on the invoice or as agreed to by the parties.

However, all invoices must be submitted to Buymystock within a reasonable period of time and in no event will Seller submit an invoice to Buymystock in excess of twelve months after the date of delivery of the product under a P.O. The parties agree that any invoices not submitted to Buymystock within twelve months from the date of delivery of the products will be void and are not subject to payment by Buymystock.

DISCLAIMER:

Buymystock shall not be responsible or liable for any malicious code, delays, inaccuracies, errors, or omissions. It is the responsibility of Buymystock to maintain data, quality, accuracy, performance, timeliness, adequacy, completeness, correctness, authenticity, safety, security and validity of any and all features and functions of the Services.

The Portal Terms are applicable to all activities or transactions made on or via the Portal.

If Buymystock is notified by a Vendor or a third party brand owner, or via a court, administrative or government order that Items or any part thereof violates, in accordance with Applicable local Laws, the Intellectual Property Rights (IPRs) (which means without limitation)

(i) copyright, patents, database rights and rights in trademarks, designs,  know-how domain name, moral right, trade secret right, or any other intellectual property right arising under any local Applicable Laws and all ancillary and related rights and confidential information (whether registered or unregistered);

(ii) applications for registration, and the right to apply for registration, for any of these rights; and

(iii) all other IPRs and equivalent or similar forms of protection existing anywhere in the world and causes of action for violation, misappropriation or infringement of any of the foregoing) of any third party or any other rights of any third party or any Applicable local Laws, we may remove such Items from the Portal and our warehouses (if relevant) at our sole discretion or request removal of such Items by the Vendor within a reasonable timeframe notified in writing or through the Vendor account. Vendor acknowledges that Buymystock may from time to time introduce and implement new business rules, and customer care guidelines. Additionally, we are under no obligation to provide any information, material or document back to you, either before or after termination of these Portal Terms or cancelation of a Vendor account.

FORCE MAJEURE:

  1. In the event either party is delayed or prevented from performing this Agreement any obligations due to any cause beyond its reasonable control, including but not limited to earthquake, tsunami, flood, civil unrest, major power failures, internet connection failure, failure of telecommunications, war, Government Sanctions, restrictions, guidance, notifications and acts of God, (“Force Majeure”), such delay shall be excused during the continuance of delay, and the period of performance shall be extended to such extent as may be reasonable to perform after the cause of delay has been removed.  In the event any such delay continues for a period of more than thirty (30) days, either Party may terminate this Agreement under which performance is delayed upon written notice to the other party.
  2. Each of the Parties agrees to give notice forthwith to the other upon becoming aware of an Event of Force Majeure containing details of the circumstances giving rise to the Event of Force Majeure.
  3. If a default due to an Event of Force Majeure shall continue for more than one (1) month then the Party not in default shall be entitled to terminate this Agreement forthwith. Neither Party shall have any liability to the other (except for any pending payment liability) in respect of the termination of this Agreement as a result of an Event of Force Majeure.

NOTICE:

Any and all notices that either Party hereto is required or may desire to give the other hereunder shall be given by addressing the communication to the address set forth at the start of this Agreement, and shall be given by certified or registered post. Any change to the above mentioned address shall be informed to other Party within thirty (30) days of such change.

 RELATIONSHIP:

The parties are independent entities and the parties acknowledge and confirm that and there is no Principal and Agent relationship. This Agreement is not intended to and does not create a joint venture between the Parties. Except as otherwise expressly provided herein, neither Party shall be authorized to make or enter into, nor shall make or enter on behalf of or in the name of the other any contract, agreement, understanding, commitment or other obligation whatsoever.

GOVERNING LAW:

These Terms shall be governed and construed in accordance with the laws of United Arab Emirates, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service

 GENERAL:

  1. This Agreement may not be altered, or modified except by a written agreement or addendum signed by authorized representatives of both the parties.
  2. No delay or failure of either Party in exercising any right and no partial or single exercise of any right shall be deemed to constitute a waiver of that right or any other rights under this Agreement.
  3. The captions used in this Agreement are for convenience only and are not intended to have any legal effect.

If any provision, or portion thereof, of this Agreement is invalid or unenforceable under any applicable statute or rule of law, the Agreement shall be valid except it is to that extent to be deemed omitted.
